1. Welcome & Agenda Review
The Chair called the meeting to order at 8:07 CDT. The presence of a quorum was noted. The Chair welcomed Board-Appointee for 2019, Regenie Fraser, to the meeting who was attending as an Observer.
2. Consent Agenda
It was moved by Aaron Hughes, and seconded by Patrick Gilmore, that:
“The ARIN Board of Trustees approves Consent Agenda, as presented.”
The motion carried with no objections.
3. Treasurer’s Report: Presentation of Q2 2018 Financials
(Exhibit C, Exhibit D, Exhibit E)The Treasurer reviewed the reports with the Board noting minor changes in the Investment portfolio. She noted that legal fees and legal defense funds have been combined. Registration revenues were still under budget, as well as investment income. The Treasurer noted that the first quarter was disappointing, but that the second quarter has been better; and the second report from ARIN’s investment company is forthcoming.
The President stated that if the investment return remains at its current rate, it will be challenging to hit the investment revenue target for the year. He stated that ARIN budgets return on investments at 5 percent, and most years have been fine. He noted that there is a lag in getting the performance reporting and that ARIN will be discussing the matter with the investment company.
The Treasurer stated that there were variances in expenses, some permanent. She noted that ARIN is 163K off target for the quarter. The Treasurer will report back to the Board after meeting with investment company.
4. ARIN Community Leadership Development Program
The President reviewed the two proposed approaches for helping those in the community who seek an ARIN AC or ARIN Board leadership role: 1) a training program for prospective leaders so that they can learn about ARIN; and, 2) a mentor-based program so that aspiring ARIN community leaders can receive advice from an existing AC or Board member. Based on the guidance provided during the Board workshop, the President believed the approaches should be crafted as one program. Specifically: interested parties would first complete a lightweight training program, and if they express interest in pursuing an ARIN community leadership role, they would be assigned an Advisor. ARIN would look to the Board and AC for Advisor volunteers.
The President stated that he would come to the next Board meeting with a firm write-up of this idea. It was the sense of the Board to proceed.
5. Adoption of 2019-2020 ARIN Strategic Plan
The Chair stated that this item would be tabled until later this day, or taken to the Board’s mailing list.
6. ARIN General Counsel Report
Counsel stated that there was no report at this time.
7. Any Other Business
The Chair called for any other business. The Board entered an executive session at this time (8:20 a.m. CDT). The Board exited the session at 8:50 a.m. CDT.
The Board agreed on a format for quarterly travel expense reporting, and requested that staff publish it accordingly. The Board also reviewed expense reporting per the travel policy.
The Chair called for a 15 minute recess at 9:00 a.m. At 9:15 a.m. CDT, the Chair recessed the business meeting and reconvened the workshop session.
At 1:57 p.m. CDT the Chair called the business meeting to order, noting the presence of quorum.

5. Adoption of 2019-2020 ARIN Strategic Plan
It was moved by Aaron Hughes, and seconded by John Curran, that:
“The ARIN Board of Trustees adopts the 2019-2020 ARIN Strategic Plan, as written.”
The Chair called for discussion. There were no comments.
The motion carried with all in favor, with no objections or abstentions.
8. Adjournment
The Chair entertained a motion to adjourn at 1:58 p.m. CDT. Patrick Gilmore moved to adjourn, seconded by Bill Sandiford. The meeting was adjourned with no objections.
